Please read these Terms & Conditions carefully before engaging Nayfla’s services. By proceeding with a project, you agree to be bound by the terms below.
1. About Us
Nayfla is a sole proprietorship registered in Singapore, providing web design, development, and digital services.

2. Services
Nayfla provides services including, but not limited to, website design, website development, hosting, maintenance, and digital strategy. The specific scope of services for each engagement is agreed upon in writing prior to commencement.
3. Payments
- A deposit is required before work begins. The deposit amount will be stated in your project proposal.
- Remaining balances are due upon project completion or as outlined in the agreed payment schedule.
- All fees are quoted in Singapore Dollars (SGD) unless otherwise stated.
- Invoices unpaid beyond 14 days from the due date may incur a late fee or result in suspension of services.
4. Intellectual Property
Upon receipt of full payment, all custom design and code created for your project transfers to you. Nayfla retains the right to display the work in our portfolio unless you request otherwise in writing.
Third-party assets (fonts, stock imagery, plugins, themes) remain subject to their respective licences. It is the client’s responsibility to ensure continued licencing where applicable.
5. Client Responsibilities
You agree to:
- Provide accurate content, materials, and feedback in a timely manner
- Ensure you hold the rights to any content or assets you supply to us
- Review and approve deliverables within the agreed timeframe
Delays caused by late feedback or missing materials may affect project timelines and are not the responsibility of Nayfla.
6. Hosting & Maintenance
Hosting and maintenance plans are billed on a recurring basis as stated in your agreement. Nayfla reserves the right to adjust pricing with 30 days’ written notice. Cancellation requests must be submitted in writing with a minimum of 30 days’ notice.
7. Limitation of Liability
Nayfla’s liability in connection with any project shall not exceed the total fees paid for that specific engagement. We are not liable for any indirect, incidental, or consequential loss arising from the use or inability to use your website.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement, and not to disclose it to third parties without prior written consent.
9. Termination
Either party may terminate an engagement with 14 days’ written notice. Work completed up to the point of termination will be invoiced accordingly. Deposits are non-refundable unless Nayfla is unable to fulfil the agreed scope.
10. Governing Law
These Terms & Conditions are governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the Singapore courts.
11. Changes to These Terms
We may update these Terms & Conditions from time to time. The effective date at the top of this page reflects the most recent revision. Continued engagement with our services constitutes acceptance of any updates.
